Sullivan & Cromwell LLP seeks Senior Associate, General Practice Group in New York, NY, under supervision of partners and other more senior lawyers: advise clients on structuring, documenting, negotiating and executing financing and capital market transactions (including U.S. domestic and cross-border public and private debt transactions, notes offerings, acquisition financings, synthetic royalty transactions, tender offers, joint ventures and minority equity investments) and take a lead role in drafting and reviewing relevant transaction documentation, including term sheets, credit agreements, equity interests purchase agreements, security documents, intercreditor agreements, tender offer documents, commitment papers, documents related to notes offerings (including offering memorandums, registration statements, purchase agreements, underwriting agreements and indentures), warrant agreements, registration rights agreements and legal opinions. Requirements: J.D. or foreign equivalent. Experience in job offered or related occupation must include at least three (3) years of experience at an international law firm: researching, analyzing, reviewing and drafting memoranda, bankruptcy court filings and other agreements and legal documents relating to restructuring transactions, including chapter 11 proceedings representing both debtors and creditors; structuring, documenting, negotiating and executing corporate finance and capital markets transactions, including credit facilities, notes offerings and project finance transactions; negotiating and executing liability management transactions and coordinating contingency planning (including chapter 11 preparation); advising reporting persons on periodic reports under the Securities Exchange Act of 1934, corporate governance matters, and advising on debt facilities compliance matters; develop and present training materials for junior associates; and execute on certain business development and firm administrative initiatives. Must be admitted to the practice of law in the State of New York. Offered salary is between $365,000 and $435,000 per year. 40 hours per week.
